Mintshop Terms & Conditions

Welcome to Mintshop, a platform operated by AmberScribe (“Company,” “we,” “us,” or “our”). By accessing or using Mintshop (the “Platform”), including our website, applications, and all associated services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you may not access or use the Platform.

1. Eligibility & Account Registration

1.1 Age Requirements

You must be at least 13 years old to create an account. Users under 13 may only access Mintshop through a family account with verified parental consent in compliance with the Children’s Online Privacy Protection Act (COPPA). Users between 13 and 17 (“teen users”) may register independently but may have limited access to certain features as determined by the Platform or their family account administrator.

1.2 Account Information

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to immediately notify us of any unauthorized use of your account.

1.3 One Account Per Person

Each individual may maintain only one personal account. Group, family, and organizational accounts are separate from personal accounts and are governed by additional terms in Section 5.

2. Description of Services

Mintshop provides a suite of digital services including, but not limited to:

  • Messaging & Communication — Direct messaging, group conversations, sub-threads, file attachments, and optional end-to-end encrypted (E2EE) messaging.
  • Groups & Communities — Creation and management of family accounts, churches, ministries, enterprises, clubs, teams, study groups, and other organizational types.
  • Greeting Cards — Digital card creation, customization with templates, stickers, backgrounds, AI-generated messages, and optional NFT minting.
  • Bible Study Tools — Working Bible, Virtual Bibles, markup and annotation, cross-references, Strong’s Concordance, lexicon, semantic search, and multimedia attachments.
  • Atlas (Maps & Data Visualization) — Interactive maps with biblical places, routes, and events, with data packs available for purchase.
  • YouTube Video Summarization — AI-powered transcript extraction, summarization, key takeaway generation, and slide creation from YouTube videos.
  • Journal — Private journaling with search, sharing, and export capabilities.
  • Contact Management — Contact organization with optional Google Contacts import.
  • NFT & Blockchain Services — Digital asset creation, NFT minting on the Enjin Matrixchain blockchain, hosted wallets, and QR-code distribution (Beams).
  • Credit System — In-app currency for purchasing platform services and features.
  • Asset Management — File storage, folder organization, and sharing with granular permissions.
  • Encrypted Sharing — Ephemeral, time-limited encrypted links for confidential content sharing.
  • AI Assistant — Retrieval-augmented generation (RAG) assistant and AI-powered message suggestions.

We reserve the right to modify, suspend, or discontinue any Service at any time, with or without notice.

3. Beta Services & Early Access

3.1 Beta Designation

Mintshop is currently in a beta testing phase. Access is provided on an invitation-only basis through our whitelist, invite codes, or ephemeral invitation links. We may revoke beta access at any time and for any reason.

3.2 “As-Is” Disclaimer for Beta Features

Beta Services are provided “AS IS” and “AS AVAILABLE” without warranties of any kind. Features may be incomplete, contain bugs, behave unexpectedly, or undergo significant changes. We make no guarantees regarding uptime, performance, data integrity, or support response times during the beta period.

3.3 Data Loss Risk

Beta features may result in data loss or corruption. While we make commercially reasonable efforts to protect your data, we are not liable for any data loss that occurs during the beta period. We strongly recommend maintaining personal backups of any important content.

3.4 Feature Changes & Removal

We may modify, suspend, or permanently remove any beta feature at any time without prior notice. Features available during beta are not guaranteed to be available at general availability (GA) launch.

3.5 Feedback

Any feedback, bug reports, suggestions, or ideas you provide regarding beta features become the property of the Company. We may use, modify, and incorporate such feedback into the Platform without obligation, compensation, or attribution to you.

3.6 Credits During Beta

Credits purchased during the beta period are valid and will transfer to the general availability version of the Platform. However, service pricing may change at GA launch, and no refunds will be issued for pricing differences between beta and GA.

3.7 Transition to General Availability

When the Platform transitions from beta to general availability, these Terms will be updated. Continued use of the Platform after GA launch constitutes acceptance of the updated Terms.

4. User Content & Intellectual Property

4.1 Your Content — Ownership

You retain all rights, title, and ownership in and to content you create, upload, or submit to the Platform (“User Content”), including but not limited to: greeting cards you design, journal entries, Bible annotations and markup, messages, uploaded files and media, and profile information. Mintshop does not claim ownership of your User Content.

4.2 License Grant to Mintshop

By submitting User Content to the Platform, you grant AmberScribe a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, transmit, display, and distribute your User Content solely for the purpose of operating, developing, providing, promoting, and improving the Platform and our Services. This license continues until you delete the content or your account, except where: (a) deletion is technically infeasible (e.g., blockchain records or distributed backups); or (b) the content has been shared with or distributed to other users who retain their own copies.

4.3 Platform Content & Licenses

The Platform and its original content (including but not limited to card templates, stickers, background images, layout designs, atlas data, Bible text compilations, and UI elements) are the property of AmberScribe or its licensors and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use Platform content solely for personal, non-commercial use within the Platform.

4.4 Derivative Works

When you create content using Platform-provided assets (e.g., a greeting card using our templates and stickers, or a Bible annotation using our crossreference data), you own your creative expression and customizations, but you do not acquire ownership of the underlying Platform assets. You may share, print, or gift derivative works created on the Platform for personal, non-commercial purposes. Commercial use of derivative works requires our prior written consent.

4.5 Virtual Bible Annotations & Markup Packages

If you publish annotation packages or share Bible markup with other users or groups, you grant those recipients a non-exclusive license to view and use the shared annotations within the Platform. You retain ownership of your original annotations and may revoke sharing access at any time, except for copies already distributed.

4.6 Virtual Bible Inheritance

If you designate a digital heir for your Virtual Bible, upon your account becoming inactive per our inheritance policy, the designated heir will receive a copy of your Virtual Bible, including all annotations. The heir receives a perpetual license to view, use, and modify the inherited content for personal use within the Platform. The heir does not acquire the right to commercially distribute inherited annotations.

5.1 Respect for Copyright

You agree not to upload, share, or distribute content that infringes the copyright or other intellectual property rights of any third party. You represent and warrant that you have all necessary rights, licenses, or permissions for any content you submit to the Platform.

5.2 DMCA Takedown Procedure

In accordance with the Digital Millennium Copyright Act (DMCA), if you believe that content on the Platform infringes your copyright, you may submit a takedown notice to our designated copyright agent at: copyright@amberscribe.com. Your notice must include:

  1. Identification of the copyrighted work claimed to be infringed;
  2. Identification of the infringing material and its location on the Platform;
  3. Your contact information (name, address, telephone, email);
  4. A statement that you have a good-faith belief the use is not authorized;
  5. A statement under penalty of perjury that the information is accurate and you are the rights holder or authorized agent; and
  6. Your physical or electronic signature.

5.3 Counter-Notice

If you believe content was removed in error, you may submit a counter-notice with similar requirements. We will process counter-notices in accordance with the DMCA and may restore the content if no court action is filed within the statutory period.

5.4 Repeat Infringers

We will terminate the accounts of users who are repeat copyright infringers in appropriate circumstances.

5.5 NFT & Blockchain Content

Due to the immutable nature of blockchain technology, content minted as NFTs cannot be deleted from the blockchain after minting. While we can remove Platform-side references and metadata, the on-chain record and any content stored on IPFS may persist indefinitely. You are solely responsible for ensuring you have full rights to any content you mint as an NFT.

6. NFT & Blockchain-Specific Terms

6.1 Blockchain Transactions Are Irreversible

Transactions on the Enjin Matrixchain blockchain, including NFT minting, token transfers, and collection creation, are permanent and irreversible once confirmed on-chain. We cannot undo, reverse, or cancel blockchain transactions. You acknowledge and accept this risk before initiating any blockchain operation.

6.2 Wallet Responsibility

You are responsible for the security of your blockchain wallet, whether hosted by the Platform or self-custodied. We are not responsible for any loss of digital assets resulting from compromised wallet credentials, unauthorized access, or user error.

6.3 NFT Ownership

Minting an NFT on the Platform grants you ownership of the token on the blockchain. This ownership does not necessarily include ownership of the underlying intellectual property unless explicitly stated. Platform-provided templates, stickers, or design elements used in NFT creation remain the property of AmberScribe.

6.4 No Financial Advice

Nothing on the Platform constitutes financial, investment, or trading advice. NFTs are digital collectibles and we make no representations regarding their monetary value, market liquidity, or investment potential.

7. End-to-End Encryption (E2EE)

7.1 Encryption Key Responsibility

When you enable end-to-end encryption for messaging, you are responsible for maintaining access to your encryption keys. If you lose your encryption keys and have not configured backup or social recovery options, your encrypted data will be permanently irrecoverable. AmberScribe cannot decrypt E2EE-protected content without your keys.

7.2 Key Backup & Social Recovery

We provide key backup and social recovery mechanisms. You are strongly encouraged to configure these features. The Platform is not liable for data loss resulting from failure to maintain key backups or recovery options.

7.3 Parental & Administrative Oversight

Family account administrators (parents/guardians) and group administrators with oversight roles may have the ability to recover encryption keys for accounts under their supervision, depending on the security profile configuration. All oversight access is logged in an immutable audit trail. By using the Platform within a family or group account, you acknowledge that authorized administrators may have access to your encrypted content as permitted by the applicable security profile.

7.4 Key Rotation & Migration

During the beta period and beyond, encryption key formats or protocols may be updated. We will provide key migration tools, but you may be required to re-generate or rotate keys to maintain access to encrypted content.

8. Groups, Families & Organizations

8.1 Account Owner Responsibilities

The creator of a group or family account (“Account Owner”) is responsible for: managing members, assigning roles appropriate to member capabilities, ensuring compliance with these Terms by all members, and maintaining appropriate content standards within their group.

8.2 Parental Consent (COPPA)

Account Owners who add minors under the age of 13 to a family account must obtain and maintain verifiable parental consent in accordance with COPPA. The Platform provides a parental consent workflow including email verification and a 7-day acceptance window. Failure to obtain valid consent will result in the minor’s account being restricted or removed.

8.3 Teen Users (Ages 13–17)

Teen users may have restricted access to certain features, including but not limited to: blockchain/NFT operations, credit purchases, and certain administrative functions, as determined by the Platform or their family account administrator.

8.4 Adult Liberation

Users who reach the age of 18 may “liberate” their account from a family account to become an independent user. This process transfers personal content and settings to the independent account while preserving the family account’s integrity.

8.5 Joint Liability

Account Owners of family accounts are jointly liable for the actions of minor members under their supervision. This includes content created, messages sent, and any violations of these Terms by supervised members.

9. Credits & Purchases

9.1 Credit System

Mintshop uses an internal credit system for accessing premium features and services. Credits may be purchased through the Platform and are applied to your account balance.

9.2 Non-Refundable

All credit purchases are final and non-refundable, except as required by applicable law. Credits have no cash value and cannot be redeemed for cash, transferred to other users, or exchanged outside the Platform.

9.3 Credit Expiration

Credits do not expire as long as your account remains active and in good standing. If your account is terminated for cause (violation of these Terms), unused credits will be forfeited.

9.4 Pricing Changes

We reserve the right to modify credit pricing and service costs at any time. Changes will be communicated through the Platform and will apply to future purchases only.

10. AI-Generated Content

10.1 AI Services

The Platform offers AI-powered features including message generation, video summarization, semantic Bible search, and a general-purpose assistant. These features use third-party AI models and may produce inaccurate, incomplete, or misleading results.

10.2 No Warranty of Accuracy

AI-generated content is provided as a convenience and starting point. You are solely responsible for reviewing, editing, and verifying AI-generated content before sending, publishing, or relying on it. We disclaim all liability for errors, inaccuracies, or consequences arising from AI-generated content.

10.3 Usage of Prompts

We may use anonymized and aggregated prompt data to improve our AI services. We will not share your individual prompts or AI interactions with third parties, except as required to operate the AI service (e.g., sending prompts to the AI model provider).

11. Third-Party Services & Integrations

11.1 Google Services

Contact import uses the Google Contacts API with OAuth 2.0 authentication. We access your contacts in read-only mode, do not store your Google credentials, and do not modify your Google Contacts. Your use of Google services is subject to Google’s Terms of Service and Privacy Policy.

11.2 YouTube Content

Video summarization processes publicly available YouTube content. We do not host or redistribute YouTube videos. Summaries are derived content and may be subject to YouTube’s Terms of Service. You are responsible for ensuring your use of summarized content complies with applicable copyright laws and YouTube’s Terms.

11.3 Enjin Blockchain

NFT and blockchain services operate on the Enjin Matrixchain network. Your use of blockchain features is subject to applicable network terms and conditions. We are not responsible for network outages, transaction failures, or changes to the blockchain protocol.

11.4 IPFS Storage

NFT metadata and media may be stored on the InterPlanetary File System (IPFS) via Pinata. Content stored on IPFS is distributed and may be cached by third-party nodes. Removal of IPFS-pinned content is not guaranteed.

12. Privacy & Data Protection

12.1 Data Collection

We collect and process personal data as necessary to provide the Services. This includes account information, content you create, usage data, and technical information about your device and connection. For complete details, please refer to our Privacy Policy.

12.2 Data Security

We implement industry-standard security measures including: row-level security (RLS) at the database layer, encrypted data transmission (TLS), optional end-to-end encryption for messaging, and secure key management. However, no method of electronic storage or transmission is 100% secure, and we cannot guarantee absolute security.

12.3 Data Portability & Deletion

You may export your content (journal entries, Bible markup, contacts) through the Platform’s built-in export features. You may request deletion of your account and personal data, subject to: (a) legal retention requirements; (b) blockchain records which cannot be deleted; and (c) content shared with or distributed to other users.

12.4 Children’s Privacy

We comply with COPPA and do not knowingly collect personal information from children under 13 without verified parental consent. If we discover that we have collected information from a child under 13 without proper consent, we will promptly delete such information.

13. Community Guidelines & Prohibited Conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law;
  • Upload, share, or distribute content that is defamatory, obscene, hateful, or that promotes violence, discrimination, or illegal activity;
  • Harass, bully, threaten, or intimidate other users;
  • Impersonate any person or entity, or misrepresent your affiliation;
  • Upload viruses, malware, or other harmful code;
  • Attempt to gain unauthorized access to other accounts, systems, or data;
  • Scrape, crawl, or use automated tools to access the Platform without authorization;
  • Circumvent, disable, or interfere with security features of the Platform;
  • Use the Platform to send unsolicited commercial communications (spam);
  • Mint NFTs containing content you do not have rights to;
  • Create multiple accounts to circumvent bans, restrictions, or credit limits;
  • Exploit bugs, glitches, or vulnerabilities in the Platform for personal gain;
  • Use AI features to generate content that violates these Terms or applicable law;
  • Reverse-engineer, decompile, or disassemble any part of the Platform.

14. Termination & Suspension

14.1 By You

You may terminate your account at any time by contacting support or through the account settings. Termination does not entitle you to a refund of unused credits. Content shared with other users or minted on the blockchain will persist after account deletion.

14.2 By Us

We may suspend or terminate your account, with or without notice, for: violation of these Terms, suspected fraudulent activity, extended inactivity, legal requirements, or any other reason at our sole discretion. Upon termination, your license to use the Platform immediately ceases.

14.3 Effect of Termination

Upon termination: (a) your access to the Platform will be revoked; (b) unused credits will be forfeited if termination was for cause; (c) content stored on the blockchain cannot be removed; (d) you remain responsible for any obligations accrued prior to termination; and (e) sections of these Terms that by their nature should survive (including intellectual property, limitation of liability, and dispute resolution) will continue in effect.

15. Disclaimers & Limitation of Liability

15.1 Disclaimer of Warranties

THE PLATFORM AND ALL SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

15.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMBERSCRIBE, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) LOSS OF ENCRYPTION KEYS OR ENCRYPTED DATA; (D) BLOCKCHAIN TRANSACTION ERRORS OR FAILURES; (E) ACTIONS OF OTHER USERS; (F) AI-GENERATED CONTENT INACCURACIES; OR (G) ANY OTHER MATTER RELATING TO THE PLATFORM.

15.3 Maximum Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16. Indemnification

You agree to indemnify, defend, and hold harmless AmberScribe, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in connection with: (a) your use of the Platform; (b) your User Content; (c) your violation of these Terms; (d) your violation of any third-party right, including intellectual property rights; or (e) NFTs you mint containing content that infringes third-party rights.

17. Dispute Resolution

17.1 Informal Resolution

Before filing any formal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@amberscribe.com. We will attempt to resolve the dispute within 30 days.

17.2 Binding Arbitration

If informal resolution fails, any dispute arising from or relating to these Terms or the Platform shall be resolved by binding arbitration in accordance with the ADR Institute of Canada Arbitration Rules. Arbitration shall be conducted in Hamilton, Ontario, Canada, and the arbitrator’s decision shall be final and binding.

17.3 Class Action Waiver

YOU AND AMBERSCRIBE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

17.4 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any legal proceedings not subject to arbitration shall be brought exclusively in the courts located in Hamilton, Ontario, Canada.

18. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you through the Platform (via inbox notification or a prompt on sign-in) and update the “Effective Date” at the top of this page. Your continued use of the Platform after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform.

19. General Provisions

19.1 Entire Agreement

These Terms, together with our Privacy Policy and any supplemental terms for specific Services, constitute the entire agreement between you and AmberScribe regarding the Platform.

19.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

19.3 No Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

19.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.

19.5 Force Majeure

We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to: natural disasters, war, terrorism, pandemics, government actions, blockchain network failures, or third-party service outages.
